To use the App and Services, you must be at least 13 years of age (or the minimum age required by applicable law in your jurisdiction). By using the App and Services, you represent and warrant that you meet the age requirement and have the legal capacity to enter into this Agreement. If you are using the App and Services on behalf of a legal entity, you represent and warrant that you have the authority to bind such entity to this Agreement.
To access certain features of the App and Services, you may need to register an account. When registering an account, you agree to provide accurate, complete, and up-to-date information. You are responsible for maintaining the confidentiality of your account credentials (including username and password) and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any other security breach.
We shall not be liable for any loss or damage arising from your failure to comply with the above obligations. You may terminate your account at any time by contacting us through the contact information provided in Section 10. We reserve the right to suspend or terminate your account if you violate any terms of this Agreement or if we have reasonable grounds to believe that your account is being used for illegal or unauthorized purposes.
You agree to use the App and Services only for lawful purposes and in accordance with this Agreement, applicable laws, regulations, and public order. You may use the App and Services solely for your personal or internal business purposes (as applicable) and shall not use them for any other purposes without our prior written consent.
You shall not engage in any of the following activities when using the App and Services:
All intellectual property rights in the App and Services (including but not limited to software, code, text, graphics, logos, images, audio, video, and other content) are owned by us or our licensors. This Agreement does not grant you any right, title, or interest in or to the App and Services except for the limited, non-exclusive, non-transferable right to use the App and Services in accordance with this Agreement. You shall not use, copy, reproduce, distribute, modify, or create derivative works of any intellectual property of ours or our licensors without our prior written consent.
You retain all ownership rights to any content that you upload, post, or transmit through the App and Services ("User Content"). By uploading, posting, or transmitting User Content, you grant us a non-exclusive, worldwide, royalty-free, transferable, sublicensable license to use, reproduce, distribute, display, and modify the User Content for the purpose of providing, maintaining, and improving the App and Services.
You are solely responsible for your User Content and the consequences of uploading, posting, or transmitting it. You represent and warrant that you have the right to upload, post, or transmit the User Content and that the User Content does not violate any applicable laws, regulations, or third-party rights. We reserve the right to review, remove, or disable access to any User Content that violates this Agreement or is otherwise inappropriate, without prior notice to you.
THE APP AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE APP AND SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. YOU USE THE APP AND SERVICES AT YOUR OWN RISK.
IN NO EVENT SHALL WE BE LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES (INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES) ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE APP AND SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY TO YOU FOR ANY DIRECT DAMAGES ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT SHALL NOT EXCEED THE AMOUNT YOU PAID TO US (IF ANY) FOR USING THE APP AND SERVICES IN THE SIX MONTHS PRIOR TO THE CLAIM.
The above limitation of liability shall not apply to liability arising from fraud, gross negligence, willful misconduct, or a breach of confidentiality obligations, or to liability that cannot be limited by applicable law.
You agree to indemnify, defend, and hold us harmless from and against any and all claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with your use of the App and Services, your violation of this Agreement, your User Content, or your violation of any applicable laws, regulations, or third-party rights.
We may update this Agreement from time to time. When we make changes to this Agreement, we will notify you by posting the updated Agreement on the App (e.g., through a pop-up notification or a prominent link) and updating the "Last Updated" date at the end of this Agreement. The updated Agreement will take effect immediately upon posting. Your continued use of the App and Services after the updated Agreement is posted constitutes your acceptance of the changes. We encourage you to review this Agreement periodically to stay informed of any updates.
